MasterTracks is more expensive and not as good as Cakewalk. Cakewalk provides a cool staff view of your music that is useful for editing stuff. It can't print (I was disappointed when I found that out) out your music, but it's still nice if you played a wrong note and you just want to shift it up or down. The keyboard view is hard to read (you have to trace it to the left graphical depiction of a keyboard to figure out what note that is). In addition: Although both play in the background, only Cakewalk records in the background, which I do when I'm transferring music from my keyboard to the computer (multitrack record). Cakewalk also has cool sysex support. You asked "is it worth the money". Well, it's not that expensive, and if you have a nice computer, the windows interface is easier to use. Did you use the old cakewalk (v4.0)? This version's better.
