We are proud to present to you the IFCSS Consultation Service Committee,
which will significantly expand our membership service in the vital area
of law and legal matters. Again, your active participation is key to its
success as well as the existence of the IFCSS in general. The following
is a forwarded message from the Committee chair, Liu Zhendong.

IFCSS Consultation Service Committee (CSC), set up at the end of last year, 
mainly focuses issues relating to law and tax facing most CSS, which are still 
very new in this country. Since then, the committee has helped several Chinese
students to solve lawsuit problems, such as car accidents, off-campus working 
without working permit and failure to fill tax return form. However, due to our 
limit manpower and knowledge to various laws, we can not extensively expand our 
service to more students. IFCSS/CSC calls the helps from every of you who major 
in law and other social sciences, and who are our local CSS leaders.

Your helps are needed in expaning the services in the following areas:

     Laws:
           visa...
           family reunion...
	   working permit...
           tax return...
           car accident...

     Insurance:
           auto insurance...
           health insurance...
           life insurance...
           
IFCSS/CSC is now considering to allocate space in the IFCSS ftp to store some
basic information related to above issues. At the same time, IFCSS/CSC needs
sufficient manpower to answer various types of question raised by the CSS 
community.

Since the National is so small, I would  suggest that you remain in the 
greeting hall of your airlines until you are greeted by Liqun, me or 
others who arrives earlier and may hold a board with your name on it.

I can meet you at the National.

Also, Wang Yu, seems that u are the only poor guy flying to Dullas. If we 
can not come to pick up in time, you should take a taxi for safe.

Hi, all council colleagues:

     I was busy for moving these days and my phone was entry-only in 
January 31. Right now, I live at one of my friends apartment. Sorry for 
having not responded many of your calling. In this month, I can be 
reached only through e-mail. Sorry again for the inconvenient.

     Hongguang: Thank you for your hard work. If possible, could you 
consider of renting a middle size car instead of a minvan? Chen Dong 
called for two days ago and araised such a relevant quesiton. I think it 
is pretty reasonable.

Because I stay in door most of the time, I don't feel very cold even during
the coldest time :-)
The forcasted temperature for this weekend is above 32F, around 40F.
During the night, the lowest can go to high 20s. So you don't need heavily
equiped, but a coat (yu rong yi) and sweater (mao yi) is advised.

The IFCSS HQ in its memo on December 9, 1993 accused the Council 
Financial Inspection Team of violating the Financial Regualtions on the 
allegation of no proper authorization of Mr. Bai Yan as a member of the 
Inspection Team and the lying by Zhou Hongguang to HQ about such an 
authorization and the confidentiality of IFCSS financial records. The 
basis of the HQ's accusations has so far been proved groudless and the 
similar accusations raised within the council has also been refuted in 
accordince of IFCSS BY-Law and Regulations at earlier time.

The Finance Committee reaffirms that MR. Bai Yan has been as a member of 
the Inspection Team by Zhou Hongguang, the coordinator of the Inspection 
Term within the Resolution CR5020 and the Article 11 of IFCSS Financial 
Regulations. And he acted accordingly.

Without any inquiry with the Finance Committee, the HQ allegation of 
possible leakage of sensitive information reminds us of the claim of 
catching spies within IFCSS in the past years. The sensitive documents 
claimed by the HQ are actually the cashed checks payable to the 6.4 
victims and their families in the their or their friends' REAL NAMES. 
Almost all the registered checks were cleared through the Bank of China 
in China and the transaction records are kept in the Bank and will be 
kept until foreseeable future. And the IFCSS HQ has called and is still 
calling for general public donation for the 6.4 victims. The Finance 
Committee cannot see why this kind of information is sensitive and to 
whom it is sensitive. Furthermore, as a non-profit organization 
registered in the United States, IFCSS is required by the Maryland 
Cooperation Law to open its financial situation to the general public.

In spite of the fact that Mr. Bai Yan has agreed to be bound by the 
Agreement of Confidentiality when he was authorized as a member of the 
Inspection Team, the HQ unfounded suspicion and the uninvited, 
illegitimate and rude interrogation of Mr. Bai Yan by Mr. Lou Lishi, a 
member of the Supervisory Committee, during the 2nd Council 
Teleconference have brought the question of the legitimacy of IFCSS 
which claims represents all Chinese students and scholars in the USA. 
When Mr. Bai Yan, an ordinary Chinese student and PHD candidate in 
Administration in Non-profit Organization, came forward to volunteer his 
time and to contribute his knowledge and experiences for helping 
improving the IFCSS financial management. What we should express to him 
should be welcome and being delighted rather than suspicion and 
questioning. Only in this way can IFCSS establishes its credibility and 
attract more participation of CSS.

To lie is to make up a story to cover something or to cheat somebody in 
order to cover facts by purpose. The mission of the Inspection Team is 
to UNCOVER facts in the IFCSS HQ financial records and not to cover 
something there. We have no reason to cover something in the IFCSS 
financial records by lying what's-so-ever to the HQ as alleged. We are 
accused of wrongdoing and lying for only thing-- we are looking for and 
cover facts in the IFCSS financial records.

We are quite clear about our motivation for alleged mistaken actions is 
to cover the facts in the IFCSS financial records in order to improve 
the management. However, we have so far failed to understand why the HQ 
made such false allegation against us.

We have heard you !

I hope the Finance Committee members, Bai Yan and other council members
well prepare for this coming meeting. I would want to see everybody ask
as many questions about the IFCSS finance as possible.

Now, I have heard saying some council members is going to veto CPA Jeff Lin's
report no matter what. I wish my information is wrong, and cann't believe
our honorable, dear council members is trying to do such things. (but again,
Things I don't believe happened before.)

Changsheng has come back from China. We council did not know anything
about it before he left. I am preparing a memo to HQ in regarding this
issue. Please make comments and suggestions.

1. HQ, especially Changsheng should give council a REASONABLE EXPLANATION
to why they did not inform the council.Is it OK with the rule to consider
this travel as an official IFCSS visit?
2. Changsheng should give a special report about the activities in China.
How many officers did he meet in the name of President of FACSS? What
are topics during these meetings?
3. Since "Exchange" issue was very hot at 5da and  HQ is in the right
direction, what are our futher planes for it after Changsheng's visit?
What basic rules should we follow when we contact with CG to keep us
independent?

Thanks to the active participation from our members, an IFCSS
Delegation to Taiwan has been successfully formed. Here is the
latest report regarding the Delegation and its trip to Taiwan.
For those who have signed on the Delegation, please read the
following carefully.

1.   Three of the members in the Delegation have received
approval, and more will receive their approval in the next days
or weeks.

2.   The time of arriving in Taipei (from USA) is scheduled to be February
22, 1994. The time of leaving Taipei (For USA) is scheduled to be March 7,
1994.

3.   Taiwan's host organization (sanmin zhuyi tongyi zhongguo da
tongmeng) hopes that the Delegation arrive as a group on one
flight with minimum airfare cost. For this purpose, please call
1-800-382-4462 to book your ticket after mentioning the IFCSS
Delegation.

4.   If you have conflicting travelling schedules, you may book
your own ticket according to your plan.

	I've got a phone call this morning 2:30.  Ms. Wang from Da4 Tong2 
Meng2 talked to me abouat the visa issue for this trip.

	Taiwanese party still hasn't received application from the 
following people, which means they may need to check the NA Taiwanese

	Zhang Yalai
	(could be one more person, I'm not sure)

I don't know everybody on this list.  But everybody sees this message,

	Ms. Wang told me they need at least 5 days to process the card 
(visa?), so everybody please make sure all you material get to them at 
least a week ahead of time.

Hi Dong,

Since you are the only IFCSS officer I know and I know well, I am
writing this letter to you.  You may consider this as an official letter
to IFCSS and forward it to the approriate party.

Can IFCSS do something to speed up the final processing of the green
card ?  The justifications are:

(1) A lot of people are in the similar situation as us: received
approval notice last September while still not receiving the official
green card.  A lot of them are as anxious to receive their green card
as me.

(2) Some of them need to travel outside the country.  For example, I
have to go to Italy next month to participate a joint experiment (MACRO,
as you know), while the stamp of the temporary evidence for permanent
residence in my passport will expire next month.  Today I went to the
local INS and they told me that I'd better not leave the country before
I receive my green card. The delay in receiving the green card seriously
affects my research.

Based on the two above reasons, I feel that it is justified for the
IFCSS to look into this matter and urge the INS to speed things up.

Dear colleagues of the Council and HQ of IFCSS:

One of the main purpose of IFCSS is to serve all of
 Chinese students and scholars. More and more Chinese
 students and scholars came after 1990, who are defined
 as New-Comers (NC). NC is the future of IFCSS and NC
 need more helps than the earlier come students. Serving
 NC is the major part of the IFCSS student service, it
 is the duty of all of us not only the New Comer
 Committee.

We fell very sorry for the New Comer CommitteeUs that we
 did not pass all of the proposals about new comer
 service in the last week IFCSS working meeting. We send
 the resolution to the Council and also inform HQ for
 our strong concern about the new comer service. We call
 a special meeting to discuss the resolution.

 comer, a NEW COMER SERVICE FUND of $10,000 shall be
 built up by IFCSS and managed by IFCSS New Comer

3) New Comer Working Comer Committee shall make working
 plan and proposal to HQ. Each special program can not
 be over $5,000. HQ shall response New Comer Committee
 within two weeks.

4) New Comer Working Comer Committee shall report to HQ
 monthly and report council quarterly about the working
 plan progress and the fund management.

     I've just come back from DC several hours ago. I am so surprised  
that many of our councils have posted so many mails in our net. Yes, we 
have many important issues unsolved: newsletter bid, finance regulations, 
6da preparation, etc.. We need to give Liu Chengyan strong support. We 
can not take a brief rest during this period. 

     Because I will leave for a ten-day trip beginning at the morning of 
Feb 9, I feel so sorry (or even guilty) for being unable to track all the 
above things. Yungui, please act as an "executive chair" of the Council 
during that period. I will try to keep in touch with all of you through 
the net.

	After further investigation, now I fully share Chengyan's feeling.
I as a council member want openly apologize to Chengyan about our negligent.
We council members could at least try harder to help him and listen to him.
I talked to Chengyan at the meeting, tried to work out some technique
details, but I never realize the cause of his frustration until I did more
research today.

	Even though we were overwhelmed by the finance issues at this
meeting and the few weeks before the meeting, it is no excuse for us to be
so negligent. It is our un-shirk-able responsibility to oversee all the
problems. We truly feel sorry for things happened this way.

	We were also deeply moved by the two students drove to DC yesterday.
We think it is our council's fault that we were not able to have the preset
newsletter bidding meeting. We did not even give them the fair bidding
chance. We strongly urge that we have a email meeting as soon as possible to 
discuss the issue. To further encourage grass root involvement of IFCSS,
to compensate for our work negligent, to help other bidder get a fair
opportunity, we suggest the council set aside a small fund to help them
editing a few trial issues for the IFCSS newsletter. We will try to work
out the details before the email meeting.

	Also, we encourage the HQ apologize to Chengyan for any negligent
and miscommunications and try they best to finalize their proposals.

     You guys have araised an very important thing: to call a emergancy 
meeting. I agree with you. I think at least there are two important 
issues in the agenda: New Comer Committee and Newsletter Bid. The 
projected meeting will be conducted better in the e-mail net. Because I 
will leave for another ten-days trip, the meeting should be presided by 
Yungui Ding. I have asked Yungui to draft the meeting package. I hope I 
can sign the meeting calling anouncement before I departure here. In case

possible.

  IFCSS HQ WEEKLY JOURNAL (January 31 to February 6, 1994)

The IFCSS HQ Weekly Journal is published weekly to provide
information on the IFCSS Headquarters daily activities. It aims
to increase the openness and transparency of the IFCSS, and to
encourage criticisms, suggestions and active participation from
our members.

               January 31, Monday
The HQ issued News Release 5104 to call for input for the IFCSS
Consultation Service Committee.

The HQ staff called the Working Committee Chairs and Project
Coordinators to discuss their reports to the upcoming IFCSS
Working Meeting.

               February 1, Tuesday
The HQ staff continued to prepare for the upcoming IFCSS Working
Meeting.

The HQ was contacted by Senator Max Baucus office.

Jeff W.S. Lin, CPA, conducted a formal interview of the HQ staff
regarding the IFCSS internal accounting control. 

               February 2, Wednesday
The HQ received the IFCSS Human Right Committee's Human Right
Report of PRC.

The HQ staff continued to prepare for the Working Meeting.

The HQ staff contacted the Congressman Richard Gephardt's office.

               February 3, Thursday
The HQ issued the News Release 5105 to update the development of
IFCSS Delegation to Taiwan.

Brian Reed of Radio Free Europe and Radio Liberty visited the HQ.

The HQ staff prepared for the Working Meeting.

               February 4, Friday
Dong Liqun and Shen Tong visited the HQ to exhange views with the
HQ staff.

The IFCSS Working Meeting participants began to arrive in
Washington DC.

               February 5, Saturday
The IFCSS Working Meeting was held in the Quality Hotel. Lin
Changsheng presented to the Meeting a special report on his China
trip. 

Mr. Jeff W.S. Lin, Certified Public Accountant, presented to the
Working Meeting the IFCSS Financial Statements for the year ended
June 30, 1993, and for the period from July 1 to December 31,
1993. He also answered questions from the participants of the
Working Meeting.

The Working Meeting discussed the issue related to the IFCSS
financial system.

The Council convened and passed several resolutions.

               February 6, Sunday
The Working Meeting received following reports of IFCSS Working
Committees and IFCSS Projects:

     Special Report from IFCSS Working Meeting (1): 
          CPA Report on IFCSS Financial Situation

In the past months, a considerable amount of suspicion has been
generated over IFCSS's financial situation, which naturally
became an overriding concern of those who attended the Working
Meeting (February 5-6). To clarify the situation, the IFCSS HQ
asked Mr. Jeff W.S. Lin, a certified public accountant, to
compile a set of comprehensive financial statements to be
reported to the IFCSS Council as well as to other members of the
IFCSS Working Meeting.

On the first morning of the Working Meeting, Mr. Jeff W.S. Lin
provided the delegates with a set of financial statements
covering the period from July 1, 1992 to June 30, 1993 (IFCSS 4th
term). The documents included the balance sheet of IFCSS
Foundation, Inc., Statements of Revenue & Expenses (combined,
general fund, council, June 4th Fund, Insurance Program, CSPA,
CSS-Protection, 4th Congress, 5th Congress, Supervisory
Committee, Working Committee, Project, Fund Raising, NED, and
Round-table Meeting), Statement of Changes in Fund Balance,
Statement of Cash Flows (Increase [Decrease] in Cash or Cash
Equivalents) along with CPA notes. 

Mr. Jeff W.S. Lin presented and explained these documents to the
delegates, and answered their questions. One of the major
concerns at the meeting was whether any IFCSS funds had
disappeared or were unaccounted for. When asked this question, Mr.
Jeff W.S. Lin answered that for the period ending June 30, 1993,
he had not found any indication of such disappearance. Mr. Jeff
W.S. Lin added that he had almost completed compilation of the
financial statements for the current term (IFCSS 5th term), a
draft of which was also presented to the Working Meeting, and
that he had not found any traces of disappearing funds, either.
Mr. Jeff W.S. Lin expressed a fairly good opinion of IFCSS
financial system and of the work by IFCSS treasurer Ms. Jiang
Zuihong, but also identified areas for improvement in IFCSS
financial system. 

The delegates were satisfied with Mr. Jeff W.S. Lin's report and
expressed appreciation for his working overtime to prepare the
financial statements for the meeting. Later on, the IFCSS Council
passed a resolution approving Mr. Jeff W.S. Lin's report.

To be responsible to the CSS community, the IFCSS HQ will make
available on the E-mail network the aforementioned financial
statements and the complete text of the question-and-answer
session conducted by Mr. Jeff W.S. Lin. We will notify you how to
access this information when it is ready. 

The IFCSS HQ appreciates all the concerns over the organization's
financial situation and sincerely hopes that the CSS Community
will continue to monitor its finances. We will be pleased to
answer any questions in this regard.

          student organizations and IFCSS activists.

The HQ staff had a meeting with Grant Officers of the National
Endowment for Democracy regarding funding for IFCSS projects.

The HQ staff contacted the Congressional Human Rights Foundation to
establish relationship between the two organizations.

               February 11, Friday
The HQ office closed due to severe storm in Washington DC area.

RE:	Reimbursement for the rental car

You all are know that I was going to rent a mini-van during the "Working 
Conference" and I rented and I received and saw some of you off at the 
airport at the first weekend of Febuary, 1994. Even though I had had the 
approval before hand from Dong Liqun, Ding Yungui and Shen Tong for the 
rental and I had had sent out TWO memos regarding this matter. And I did 
received the requests from most of my Council Members for greeting them 
at the airport and also some of the others participants for the meeting. 
I did my best to greeting anyone who asked me for picking up.( Sure I 
made mistakes and was unable to greet Mr. Ren Songling, Fan Hongran and 
Wang Jing and a couple of others--to whom I have felt guilty. But as a 
matter of fact, I slept less than 5 hours within 48-hours and only had 
2-lian noodle on the very Friday at the Meeting Week and I drove 
participants to restraunt.) I saw off every possible participants off 
airport and rail station. I did all what I could do except my 
responsibility for the Council Finance Committee and the Council 
Financial Inspection Team. And I apologized around for WHAT I had done and I 
was told that I would have the car rental charges reimbursed after I return 
to Atlanta. Mr. Ding Yungui, the Treasurer, signed the bill. I did too much 
that I missed my flight back to Atlanta on Sunday night.

However, I am told that, because Mr. Chen Dong, a Council Member residing 
in DC area does not like the car rental, the HQ can not proceed to 
reimburse me the charges. Therefore, I would like to ask Mr, Chen Dong to 
explain why he has done this and why he thinks he has the power over the 
Council's Treasurer. Also I would ask the Chair and Co-chair to exercise 
the power to get this issue settled as soon as possible. I have advianced 
my own momey of more than $1,000 for the work of IFCSS and got nothing 
BUT charges for doing for much.


Finally, I would like to remind all of you that: IFCSS has built on 
action not on talking and accusation.

At the recent IFCSS working meeting, Mr. Jeff Lin, the CPA who
compiled IFCSS financial statements, gave a report on IFCSS
financial situation. The following is the complete transcription of
the question-and-answer session conducted by Mr. Lin.

Q: I noticed in the financial statement that IFCSS paid some tax
penalty. I want to know if that could have been avoided. If yes,
who should be responsible for it?

A: If a company has a full-time bookkeeper, he/she should know
whether the company makes profits or suffers losses. However, your
organization is a non-profit organization, probably nobody
anticipated the sudden rise in the insurance-related income, nor
was anybody aware that this income was not tax-deductible, in
addition, you don't have a full-time bookkeeper. As far as I know,
your treasurer, Miss Jiang, is well-trained, but she may not have
this kind of experience. If you want to point finger at someone,
I'd say it's very hard to pinpoint at anyone. But if you had a
full-time bookkeeper, this could have been his/her responsibility.

Q: What is the "bad debt" in your report?

A: Probably somebody made the check to you, but the check couldn't
be cashed. I don't know if anyone has tried to make the person
write a good check or the person simply refused to do it. Anyway,
the check got bounced back and became bad debt. Your accounts are
managed on an accrual basis. Had it been managed on a cash basis,
there would not have been such a problem, for in that case the bad
check would not have been counted as income.

Q: I have two questions. What are the expenditures from the June
4th Foundation fund? The second question is: what is the difference
between working committees and projects?

A: I cannot talk about the technical side of your question.
Probably your executive officers are able to tell you the
difference. As far as the June 4th funds, I know you have two
different categories of expenditures: one is relief fund for June
4th victims and their families, the other is June 4th meeting. (Lin
Changsheng: the latter was spent on memorial activities, such as
candle-light vigil.)

Q: If somebody wants to express professional opinion on IFCSS
accounts, does he or she have to possess certain qualifications?

A: He/she must have the license and pass the CPA exam. He/she
should also have experience. If you want to engage an auditor, you
have to make sure that the auditor has experience in your
particular field. You have to specify in your engagement letter
your requirements. He'll have to do a very detailed auditing. Then
all kinds confirmation follow, such as bank confirmation,
receivables confirmation, and internal control. Only after that can
he/she express an opinion that whether your reports reflect the
overall business of your company. For the present assignment, I am
not engaged in this manner, therefore, I am not going to express
opinions as an auditor.

Q: I mean if someone is not independent, like one of us, can do
that?

A: Definitely not. Say if your brother is a share-holder of the
company, you can't do it.

Q: (inaudible)

A: That's why you should ask an outsider to do it. You can look at
the statements I prepared, one is the balance sheet, one is about
profits and losses, one is the cash flow, these three are the most
basic. Strictly speaking, there should be a sum balance. These four
statements, plus footnotes, you cannot do without footnotes, form
the complete financial statements. 

Q: Just now you suggested that IFCSS may use some of its fund to
buy mutual fund. Are non-profit organizations allowed to do this?

A: This is called "investment income." Non-profit organizations can
engage in investment activities. But if all your income were
investment income, you would become a holding company. That would
be another issue.

Q: You mentioned that the insurance commission is making too large
a proportion of IFCSS income, which may jeopardize IFCSS's non-
profit status. Could the insurance company pay its commission in
two different ways: one part is commission, the other part is
donation?

A: It's a good suggestion. It has been explored in the past. If the
insurance company could send you a letter saying that $20,000 is
commission and $100,000 is donation, it would be O.K., but
obviously the insurance company won't do it. 

Q: You mentioned that you have worked for many different
organizations. I'd like to know how these organizations manage to
inspect their accounts apart from inviting CPAs.

A: Only very big organizations do internal auditing. Its focus is
to oversee if financial record agree with the daily expenditures.
If you don't have a full-time bookkeeper, it'll be difficult. Since
your organization has a large amount of financial activities, I
suggest that you hire a full-time bookkeeper to do nothing but
bookkeeping. This bookkeeper should not be allowed to touch fund.
The most often stressed principle in accounting is separation of
duties. You have to separate the person in charge of money from the
person in charge of accounts. It's very hard for the same person to
manage both.

Q: There is an opinion that since this is a non-profit
organization, its books should be open to everybody. I want to know
if this is realistic. If I am just somebody in the street, can I
ask for a copy of the organization's financial records?

A: For a non-profit organization, its books are open to its members
and donors. It has no obligation to provide outsiders with the
information. But this does not mean that outsiders cannot learn
about it, they can learn from the government, which has all your
records. But if an outsider asks a copy from you, you are not under
any obligation to provide what he asks.

Q: But suppose I am a member, I tell the organization's office that
I want to inspect the books, can I do it?

A: Even with members, the executive officers have their everyday
duties and it is impossible for them to entertain everybody. If you
want to come or want a copy, it has to be on your own expense. It's
not realistic for any member to raise such demands.

Q: If the organization authorizes its own people to conduct an
internal control, are these people required to possess professional
certificates?

A: Not necessarily. But they must have professional skills. In
addition, these people should come from a branch other than the
administration. They should report directly to the Board or the
Supervisory Committee. The inspector should be a full-time employee
independent from daily operations. 

Q: As Board members, what kind of responsibilities and rights do we
have in regard to the organization's finance?

A: You must make sure at formal meetings how often the executive
branch has to submit a report to you, for instance, once a year or
twice a year. This is your responsibility. Did I answer your
question?

Q: Would the Board member have legal liabilities if the
organization runs into debt?

A: No. You would not be legally liable. You are a corporation,
after all. The corporation itself is a legal person, so if the
corporation goes bankruptcy, it won't have anything to do with the
individual. You as an individual don't have to be legally
responsible.

Q: You said the statements ended June 30, 1993. When did they
begin?

A: The beginning date is July 1, 1992. A cycle consists of 12
months. The ones starting from July 1, 1993 cover the first part of
the current year, the second part will be done later on.

Q: Have you ever seen this statement prepared by the former IFCSS
treasurer Miss Jiang?

A: No. I have not. The title of this document is "Financial
Report," not "financial statement." With financial reports, you can
report by categories. If this were a financial statement, it would
fall short of the standards. But since it is a report with the
purpose of informing you how much money you have in each account,
if there is anything special. The reports covers all the major
points it is supposed to. From the point of treasurer or accounting
department, this report can be said as fairly complete. 

Q: What do you mean by "major points"?

A: If I am not mistaken, it is fairly complete. For instance, the
revenue covers insurance, donation, donation from the public, CSPA
program, service, miscellaneous revenue, interest income. The total
revenue is $472,000. For expenditures, it lists HQ operation, HQ
staff housing subsidies, office rent, phone bills, office supply,
etc., etc.. The total HQ expenses is $197,000, from which are
subtracted the 5th Congress, Council, working committee, and other
related expenses, then the total is $317,000. Plus CSPA and the 5th
Congress, the net balance is $74,000. Basically, the treasurer
reported everything necessary. Although it is not as complete as
the financial statements prepared by my firm, but doing it our way
requires fairly sophisticated computer program. It is impossible to
do it by hand. It took us several whole days even with the
computer.

Q: I'd like to know when we started to compile financial statements
on a cash basis. In your professional opinion, what kind of reports
should be view as satisfactory when the treasurer reports to the
Board? If the Board authorizes somebody to do an internal control,
what kind of reports by him/her should be viewed as satisfactory by
the Board?

A: From the information I have, your organization adopted accrual
basis from the very beginning. But the funny thing is that when you
did taxes, you used cash basis. That gives you trouble. If
possible, when I help you file tax returns, I'll apply to change it
to the accrual basis, too. They should be consistent. As for the
bookkeeper's report, if he/she is a full-time bookkeeper, he/she
should prepare a financial statement once a month, at least once
three months, and report to the executive, who then submits it to
the Board or the Supervisory Committee. However, if you don't have
such explicit requirements and this person has too many other
responsibilities, you would have to consider if this is possible.
If not, you'll have to hire more people. As far as I know, your
office is terribly busy. As for internal control, if you do not
have segregation of duty, internal control is almost impossible.
Suppose the same person approves the invoice and writes the check,
you can't expect any internal control. I'll have to do an analysis
for you. To my understanding, your problem lies with shortage of
people. Because of the shortage, your right hand mixes with your
left hand while the two hands are supposed to have separate duties.
This is why you should consider hiring a full-time bookkeeper. If
possible, there should be another person whose duty is to receive
money and checks. The person who signs the check should not be the
person who approves the invoice. Obviously, this is impossible with
the two or three people you have. (To be continued)

At the recent IFCSS working meeting, Mr. Jeff Lin, the CPA who
compiled IFCSS financial statements, gave a report on IFCSS
financial situation. The following is the second part of the
complete transcription of the question-and-answer session conducted
by Mr. Lin.

Q: At the present, there is a rumor among the Chinese students and
scholars that over $200,000 is missing from IFCSS accounts. Have
you found such evidence while compiling the accounts? In addition,
could you provide the Board with a written statement as to how to
improve the financial system. The third question is whether the tax
penalty concerning insurance and CSPA mentioned before could have
been anticipated.

A: I have never heard of such rumor. From the bank statements, the
accounts are fairly clear. All the income and expenditure is
recorded clearly. Although I have not received bank confirmation
that by June 30 the money is still in the accounts, I did find the
money is still there while compiling the records of July through
October. I am certain the money is not missing. But if it had
happened not in this fiscal year but long time ago, I could not
tell. I did not see any unusual traces that after a transfer, the
money disappeared. Of course, I cannot tell if the money had never
enter your accounts. You should know more about that than I do.
Even in that case, it would be very limited. Your donations are
usually $20 or $30; even someone forgot to deposit them, the sum
would be very limited. But I certainly didn't find anything that
suggested missing fund. Incidentally, I would give you some advice.
If you don't have any solid evidence that someone took away money,
you'd better not talk about it. Why there are so many lawyers in
the U.S.? They want to make money out of lawsuits. So if you don't
have solid evidence, do not claim that money is missing. The best
thing to do is to do your homework and try to find out about the
facts. If you speak before you do your homework, it is very likely
that you'll have to face some legal consequences. I have already
talked about the penalty issue. Unlike the insurance commission,
the income from CSPA is not taxable.

Q: You made the suggestion about bookkeeper and internal auditor.
Do you mean we need two people?

A: You may not have that much financial resources. But you need at
least a full-time bookkeeper and someone who manages the
administrative affairs. The sparrow is small, but it has all the
five organs. When an organization has a gross income of over
$300,000, it is necessary to have the full-time bookkeeper. Last
year you had an income of $500,000, it is absolutely necessary. As
to whether you need someone to inspect books, I cannot say. 

Q: (Inaudible)

A: I am not sure if you have read my engagement letter, in which I
mentioned the internal control report. In addition, I'll prepare
for you an accounting procedure manual, simplified procedures. But
it would be useless if you don't have a full-time bookkeeper. If
you have a full-time bookkeeper and he/she will following the
accounting procedures I set up for you, you will have a fairly
professionalized system. 

Q: (Inaudible)

A: You have be sure of your purpose in making such changes. If the
changes are made not to improve business, then you will end up with
an incomplete system.

Q: I'd like to follow up on the subject of internal control. When
we (IFCSS Council Inspection Team) went to the HQ to inspect the
accounts, we made a simple calculation and concluded that the HQ
report did not present complete information. We never said that
someone took the money away; we only believed that such a report
did not reflect the whole picture of IFCSS operation. As for the
internal control, we understood, of course it also included other
people's advice...When we got the statements, we could see if
different spending is justified. 

A: I don't know what standards and procedures you followed when you
did your auditing. If you have studied accounting and auditing, you
may have followed the generally accepted principles, and your
conclusion may have been valuable. I don't mean that the conclusion
you made is without value, it's just that I don't know your
backgrounds and what you have done. But if you have followed the
standard procedures and have found evidence of problems, you should
raise the question: where is the money transferred to? Or why the
outgoing amount is $10,000 while the entry is just $8,000? Your
second question is very important. A non-profit organization must
have a budget. The organization simply cannot operate without a
budget, for you don't know how much to spend on each activity, you
may even don't know what activities you will conduct. The budget
specifies how much you can spend on a particular project. Likewise,
you have to plan your income. For instance, how to collect
membership fee and how to obtain more donation. You cannot just
worry about expenses, not worry about your income. Now most of your
donations come from a few sources. If these sources are cut off,
you have to know what to do. This is part of your planning. Your
meetings should focus on this instead of worrying about details.
When big items are set, small things will gradually fall into
shape. Budget is very important. 

Q: You are right. I now believe that CSPA spending last year did
not agree with the budget. The numbers we looked at are different
from your numbers. The biggest problem at that time was the money
left from the CSPA project. The $140,000, your number is somewhat
bigger, was transferred to the HQ's general fund. We believed that
this is not right. If you transfer money back and forth, it'll be
hard to trace. After you have compiled the accounts, we now have a
better understanding.

A: There is no problem with the transfer. The point is that when
you write the check, you need to put down the specific purpose. For
instance, this check is made for insurance, that check is made for
travel. If you make such notes, everything will still be clear
three or five months down the road. If you don't do this, you will
have to guess, or to dig up materials. It would be very hard to
operate. Coming back to budget, if you have a budget, you will
worry whether the expense will be outside the budget. You should
keep track of how much you spend. If you have spent $8,000 while
the total budget is $10,000, you've got to be careful not to exceed
the budget. 

Q: You talked about investment. Considering that IFCSS has only a
half-time treasurer, do you think she should be responsible for
investment?

A: Yes, but under direction or supervision. The Board has to
prepare all the regulations. For instance, how much the HQ has the
right to allocate. When that limit is exceeded, it has to obtain
approval from the Board. I know that you have a three-branch power-
sharing mechanism, but there must be a decision as to how much
money can be used for investment. Within this limit, both long-term
and short-term investments have to be specified. And then ask the
executor to carry out the goals.

Q: Could you give us some suggestions as to internal control?

A: Yes, I'm going to do that. Incidentally, I have mentioned to Mr.
Lin and Mr. Liu that you should have a legal consultant. Now you
have more money, you should hire a long-term legal consultant. I
know you have a free legal consultant, which is good and bad. The
good thing is that you don't have to pay him; the bad thing is that
you may not get its service when you need it. So you should
consider hire someone who knows about your background, not
necessarily a Chinese. Actually, I have recommended an ABC, who
grew up here. This lawyer is very successful. His mandarin may not
be the same as ours, but very good. He often goes to China, too. He
also works a lot for non-profit organizations. Have you ever heard
of OCA, Organization of Chinese Americans? He used to be the legal
consultant of that organization. You may want to hire a long-term
legal consultant and entrust all the big and small things to him.
When you have disputes, you don't have to quarrel until your heads
ache, just give him a call. If you can hire him at a set
remuneration and let him handle all the issues, it will be good for
you, for your organization is fairly complete now.

Q: According to your compilation of our financial records, how do
you evaluate our treasurer's work, considering that she has been
paid for twenty hours a week? Is she capable of executing her
duties? In addition, there is a rumor that Miss Jiang abused fund.
Did you find such evidence? 

A: Just now I answered the question. I did not find any such
evidence of improprieties. Miss Jiang is an accounting major. She
is a conscientious worker. Probably because of her inadequate
experience, her work failed to win your understanding and liking.
She could have done better with more experience. But it's not easy
for you to find people like her, because if you try to find an
accounting graduate, you are talking about $25,000 to $30,000 a
year. In my opinion, she has done more than what you have paid her
for. As far as I know, she has been wronged. Each side may have its
point, I don't know that much. But as I said, when you accuse
someone, you should have solid evidence. Or she can bring a lawsuit
against you or even IFCSS. You would be in a very disadvantageous
position if she did that. This is just my suggestion for you. It
has nothing to do with her.

Q: What recommendation could you give about budget?

A: Budget is usually worked out based on the expenses and income of
previous years. In addition, you add special projects for next
year. The people who make the budget should be acquainted with your
finance. You don't want to work out a budget at such large
meetings. You want to form a task force or a committee to do it.
Each of the three branches of IFCSS may appoint a couple of people,
but they must know about past operations and the future activities. 

Q: (Inaudible)

A: Mr. Lin has showed me your expenditure budget. My impression is
that you are still within your budget. But you also need an income
budget, I don't remember clearly about your budget. You have to
have a good plan. You also need follow-up plans. Be it over or
under, how you will cope with it. The budget would be meaningless
if you don't compare against it or take actions.

Q: Could compare our practice with the budget?

A: I cannot do it for you.

Q: Then what about a budget?

A: I can help you with the budget. But only plan for the future. It
doesn't make sense to go backward. Next I submit to you my reports,
you will find actual spending and balance as well as budget.

Q: Have you worked for IFCSS in the past?

A: I have done an auditing for you regarding the NED grant. Not the
whole finance of IFCSS.

Q: Who paid you for the auditing?

A: NED paid me. Since it paid me, the decision to hire me was also
made by NED. Not IFCSS.

Q: You just mentioned that it is unfavorable for IFCSS not to
include housing allowance under the payroll.

A: Not just unfavorable, but against the law.

Q: Then unfavorable to whom, the organization or the individual who
receive it?

A: Both. In this way, the employees have to pay for their own
social security, which is usually 7.65, but if you send him Form
1099, they will have to pay double rate, 15.3. So it's not
favorable to the employees. If IRS inspects you accounts and finds
such practice, it will levy taxes on you together with penalty. So
it is bad for the organization, either.

           Professional Affairs Committee Report
          ========================================

On February 6, 1994, Dr. Yanpei Deng, Chairman of IFCSS
Professional Affairs Committee, presented to the Working Meeting
a report on his committee's work. We encourage you to give your
input and suggestions by contacting Mr. Deng Yanpei at the
address provided below. Here is Mr. Deng's report:

It has been four years since IFCSS was founded in 1989.  Since
then, large number of Chinese students and scholars (CSS) have
graduated from schools and started their professional career in
the U.S., and many of them are IFCSS veterans.  These CSS are
basically the people with advanced degrees and great deal of
knowledge in their professional fields, some of them have already
made great achievement.  The mission of the IFCSS's Professional
Affairs Committee (PAC) (SHE4 TUAN2 SHI4 WU4 GONG1 ZUO4 WEI3
YUAN2 HUI4), as the old name of the Professional Club, is to
build the communication channels and strengthen the connections
between IFCSS and the local CSS organizations, to provide
services and forum for the Chinese professionals in the U.S.


Local CSS professional organizations

It has been a mutual understanding both inside IFCSS and among
CSS general public that IFCSS must give great attention toward
its grass root organizations.  The most majority of the CSS
organizations are formed on the basis of regions (e.g. East
Tennessee Chinese Association and Midwest Chinese Science and
Culture Association).  These regional organizations attract local
CSS professionals and provide social, cultural, and entertaining 
opportunities for their members.  PAC has compiled the
information of many the local CSS professional organizations
nationwide, the act of making contacts is on process.  


Professional Data Bank

PAC is setting a computerized CSS Professional Data Bank (PDB) to
help the CSS professionals seeking employment in various areas. 
PDB has been collecting information from the CSS professional and
will provide such information to the potential employers, the
employment service agencies, and related information centers. 
PDB will also provide the information to the different levels of
governmental Human Resources Offices, companies, and information
centers in China.  The service of PDB for CSS will be free, 
however, fee may will be charged for the information and service
for these interested employers and agencies.


Nationwide CSS professional organizations

Some of the organization are established on the basis of common
goals (e.g. Chinese Academy Link and China News Digest) or as
fields of professions (e.g., the associations for political
science and economics).  These two types are usually the
nationwide organizations.  PAC is forming an Advisory 
Board consist of the representatives of these organizations in
order to improve their communication and cooperation with IFCSS. 
The advisors will be named by the joined invitation of the
president of IFCSS and the chairman of PAC.


Legal advisor

PAC has invited a U.S. law attorney as the legal advisor for
handling the cases requiring legal service.


As a national organization for the CSS in the U.S., the future of
IFCSS will be determined by the support and participation of
large majority of the CSS in this country.  Many CSS have
realized that it is necessary having a such organization to
protect their interest and to express their voice.  The 
driving force for CSS to involve the IFCSS activities has to be
the combination of the basis of both spiritual and materialized
values.  By recognizing the importance of the ordinary CSS and
these basis, IFCSS shall have a bright future.

Since the establishment of the IFCSS E-fund, which provides limited 
financial support to studetns and teachers in China's poor areas, we have
recieved warm responses from the overseas Chinese community.  People sent in
their nominations, donated money to support this effort, and gave new ideas
on improving the process.  In light of the Chinese New Year, we would like 
to thank all of you who have responded.  We wish everyone a happy year ahead.

The first set of teachers' assistantship application forms have been 
preprocessed and sent to the Selection Committee for decision.  These 
teachers are all nominated by CSS and reside in about eight Chinese 
Provinces.  As shown in the attached comments, most of the candidates 
have been teachers for their life and still much in need of financial
as well as spiritual support.  We again call on overseas CSS to participate
by nominating teachers and students, and donate to the fund.

2. IFCSS E-Fund and SOS Fund To Joinly Help Students in China ........... 11
----------------------------------------------------------------------------

IFCSS E-Fund and SOS China Education Fund will jointly support upto 100
elementary school students in China.  Upon an agreement between the two
fund's management committees, SOS Fund (an independent volunteers' group), 
will provide a name list of financially needy students to IFCSS E-fund.
The E-fund will evaluate and, to the best of its ability, provide a 
moderate amount of money to those accepted students.  

The IFCSS E-fund Management Committee wishes to thank the SOS Fund for 
providing the information, and for the opportunity to work with them 
to jointly help students in our motherland.  The IFCSS E-fund further 
encourages other organizations and individuals to join our efforts in 
improving the general educations in China.

Teacher --- is one of the best physics teacher in China I have met and have
many students in U.S. doing sicentific research. I'd like her to use the 
e-fund money to pay the membership fee for the American Physical Society 
and subscribe to its physics journals which are too expensive for her to 
afford.

Mr. ---- is an English teacher,who graduated from Nanjing University before
1949. He had ever taken as a teacher in ChongQing City during the War
Against Japan. After libration, he has been working in the high school
in Anhui province. One year ago, his wife suddenly died. He has a foolish
son who maybe 40 years old. He lives in a poor room with his son. Many of 
his students can't help see his situation and give him money or write to the 
county government, but no result. If e-fund can give some assistship to 
Mr. ---- we all Mr. ----'s students will appreciate it.

Mr. --- was my high school math teacher, he is excellent in teaching and 
always encourages the students to seek higher goals in their life.  Many 
students instructed by him chose Math or the related fields as their major
and life-time career.   I am pround of being one of them.

Suining is a very samll town, but because of the dedication and hard working 
of the teachers like Mr. ---, our school ranks very high( top 5 ) in 
Sichuan Province, and they have educated a lot of excellent  follow-ups 
for China.

I have got strong drive from my love of my profession and enjoyed reading
mathematics, statistics, etc because I am able to appreciate the challenging 
and exciting stories in these fields.  I believe Mr. --- was the first one who 
has ever led me on the way.  I am very grateful to him.

Teacher --- -- --- has been ranked as an outstanding teacher in Shaoyang 
for many times during 1980's. So far, he has taught hundreds of students. 
Many of them were enrolled into top universities and colleges in China. 
However, because Shaoyang is one of the poorest area in Hunan, teacher 
---'s economic conditions becomes a big problem for his family especially 
when there is a high inflation.

account, due to unknown reason. I just temporally post from this account
as the matter is urgent.]


If you applied and prepare to go to Taiwan, this is very important.  I
just called HQ and found so far only 3 people got their visa to Taiwan,
and about 20 already got all the way approved (HQ should have already
contacted you).

But for those 20 people, Taiwan have not actually print out the visa
(Ru Jin Car) yet.  So you need to contact them as soon as possible. For
the worst case you can try to get to Taiwan and call Da Tong Mong to
pick you up.

Here's what you need to do,
	1. Contact Mrs. Wang Nan-zhang at Da Tong Mong 011-886-2-595-7279
or 011-886-2-595-0967 (fax) . Tell her your fax number, so that she can
fax the visa directly to you.
	2. You should also inform Da Tong Mong about your flight number
and the time you will arrive Taipei. Ask them also fax and contact your
airline company that you are approved to enter Taiwan, in case you don't 
get the visa fax to you in time, the airline will allow you board.
This is very important!!!!!
	3. Please contact Gao Hong (800)382-4462 to make sure you are
ACTUALLY getting the ticket and they are sending the ticket to you
today, if you booked the ticket from them. If no, I found another agent
can still book you the ticket right now.  But remember it takes time to
express mail the ticket to you, and the FedExp. or UPS don't work
Sunday. So you should do it right away.  The agent number is
(800)666-8822 and ask for Janet. I have already told her our case, and
she is ready to get ticket for us.
	4. You must board the plane no latter than Feb. 24.

Dear President Changsheng Lin,

We noticed in the HQ's Weekly Journal that the HQ will send some
staff member to the US House' hearing. It is reported that the
hearing is about the renewal of China's MFN status. 

MFN issue is a very important and delicate issue between China
and the U.S., and I believe IFCSS' stand on this issue is
significant to the organization itself and it may affect the issue
itself substantially. Many of my colleagues in the Councils have
also indicated their concerns over the HQ's testmony in the Congress.

I hope the HQ will be very cautious in handling this issue,
and I think it would be very helpful that the Council be consulted
and informed before and after the HQ staff go to the capitol hill
on behalf of the organization.

I am not sure the memo on MFN testimony from HQ to Council serves as a 
notice or a report. If it were a notice, it should be sent to the Council 
before Mr. Shi Heping testified before the US House subcommittee. If it 
were a report, how could Mr. Shi be so confident to say that he was 
representing "the position" of the IFCSS without informing the Council 
before he said so?

I also do not know that "the position" Mr. Shi Heping took during the 
hearing is the opinion of his own, HQ or the IFCSS. Given the Council had 
been in totally in dark--not been informed and consulted with in advance-- 
until Mr. Shi had testified and the News Release by HQ was issued, I do 
not think Mr. Shi's position is that of the IFCSS Council, let aside of 
the CSS whom the IFCSS claims to represent. Therefore, as the Standing 
Legislature/the Board of Direcotrs of the IFCSS,the IFCSS Council should 
not be responsible for the "position" Mr. Shi took on the MFN issue. And 
whatsoever position Mr. Shi took does not represents that of the IFCSS 
Council.

   On February 24, IFCSS Vice President Heping Shi testified at
   a hearing conducted by the Subcommittee on Trade, Committee
   on Ways and Means, U.S. House of Representatives. Using his
   own experience as well as those of two political prisoners,
   Tang Yuanjun and Chen Lantao, Heping Shi illustrated the
   current human rights situation in China and requested that
   human rights conditions be continually attached to China's
   MFN trade status.
           
   Also present at the hearing were Professor Fang Lizhi,
   Congresswoman Nancy Pelosi, Assistant Secretary Winston Lord,
   Mike Jendrzejczyk from Asia Watch, President-elect of the
   US-China Business Council, and other members of Congress,
   delegates from the business community, and representatives of
   human rights organizations.
           
   The following is the complete text of Heping Shi's testimony.

                     Statement by Heping Shi
            Vice President, Independent Federation of
                  Chinese Students and Scholars
                        February 24, 1994
           
           
   Dear Mr. Chairman, Honorable Members of the Subcommittee on
   Trade, Ladies and Gentlemen:
           
   I am here today to request, on behalf of the Independent
   Federation of Chinese Students and Scholars in the U.S.A.,
   that human rights conditions be continually attached to the
   renewal of China's MFN status.
           
   The recent economic boom in China has led some to question
   whether MFN should be conditioned on human rights. While my 
   organization welcomes and applauds the efforts made by the
   Chinese government to move towards a market-oriented economy,
   it feels called upon to insist that significant improvement
   be made in regard to human rights as outlined in President 
   Clinton's Executive Order. In the past, our organization has
   presented the U.S. Congress with ample evidence of human
   rights violations; today I will only present two individual
   cases, which I believe will speak volumes for the continued 
   necessity of associating China's MFN status with its human
   rights situation. In addition, I have a number of letters to
   the U.S. government written by family members of political
   prisoners and I would like to ask the permission of Mr.
   Chairman that they be included in the records.
           
   Mr. Tang Yuanjun, a 36-year-old engineer, was sentenced to
   twenty years imprisonment for"organizing a
   counter-revolutionary group" and "engaging in
   counterrevolutionary propaganda" in the wake of June 4th
   Massacre. In prison, he was repeatedly beaten and one of his
   ribs was broken. He contracted TB and hepatitis in the
   detention center in 1989 and, because of inadequate medical
   attention, is still suffering from the diseases.  Mr. Tang's
   parents are in their sixties, his brother is paralyzed, and
   his daughter is six years old. The burden of supporting the
   whole family is now on his wife, who has pleaded to our     
   organization to help make her voice heard.
           
   Mr. Chen Lantao, a graduate of Ocean University in Qingdao,
   was only 25 years old when he was sentenced to 18 years
   imprisonment. His "crime" was "posting  leaflets containing 
   news from Voice of America" and "spreading rumors that 'army
   tanks dashed around Tian An Men Square.'" The only evidence
   listed in his indictment consisted of "two armbands made of 
   black cloth and a diary." Eight other people were put in
   prison together with Mr. Chen. Among them was an 18-year-old
   who was also sentence to an 18-year term.
           
   Mr. Chairman, my organization fully understands the
   importance of the trade relations between the United States
   and China and is willing to work with the Chinese  government
   as well as the U.S. government to bring about improvement in
   these relations. However, we also believe that the moral
   principle of safeguarding human dignity should not be       
   compromised for economic contingencies. Unconditional renewal
   of China's MFN may result in higher profits for some U.S.
   corporations, but it will certainly not command respect for
   the United States as a country that claims to value human
   lives above everything else.
           
   As a footnote to my testimony, I would like to tell you my
   own story. Last week, I went to the Chinese Embassy to have
   my passport renewed. Having learned my name, the officer in
   charge told me that my passport would not be renewed unless
   I submitted "a written statement" on my involvement in the 
   Independent Federation of Chinese Students and Scholars,
   which means that I had to express my repentance for the
   human-rights-related work in which our organization has been
   engaged. According to the officer, this requirement was 
   set by the Department of Education of the P.R.C. Embassy in
   Washington DC.  As a P.R.C. citizen, I do not know any law
   that gives a government agency at this level the power to
   deprive me of my right to a passport. It is ironic that while
   I am asking that human rights conditions be attached to
   China's MFN status, the embassy is attaching conditions to my
   passport renewal. This violation of my constitutional right
   may well reflect the overall human rights situation in   
   China today.

I am only interested in the news and communications within Emory Chinese
student union not the ifcss, each day my mailbox was crammed with a lot
of rubbish that I don't care, sometimes they really prevented me from
finding the message I need.  I can not stand it any more.  Can everybody
subscribe it individually.  I think this is a complaint not only from me,
but also from quite a few annoyed Chinese students.
