The name of this non-profit corporation shall be The Walker Percy Educational Project, Incorporated.
The purpose for which the corporation is organized is to promote the cultural impact of the work of the late American writer Walker Percy by promoting public educational activities concerned with his work and thought in any and all ways that are lawful for non-profit corporations, and specifically, but without excluding other lawful activities, to operate and financially support an Internet Web-Site focusing on the work of the late Dr. Percy as well as other matters of collateral interest to persons attracted to his oeuvre, his biographical data, archives and like matters and to raise funds for these purposes inclusive of the engagement of a Chief Executive Officer to do all work and activity associated therewith, and also to own and operate machinery both hardware and software for the purpose of accomplishing said purpose.
The period of its duration shall be perpetual or as nearly so as the operation of law and public interest and demand may allow.
The Walker Percy Educational Project, Incorporated shall be a non-profit corporation. As such it shall not engage in any activity of a political nature or attempt the influence of any legislation or do any other matter interdicted by the Bureaus of Internal Revenue, either Federal or by the State of Louisiana as prescribed for the conduct of Corporations which exist with Not for Profit status, nor shall any revenue inure to any of its Board (exclusive of the Chief Executive Officer and such staff as he may hire).

Unless otherwise specified to the Board in writing, meetings of the Corporation shall be held at the office of general counsel G.K. Barranger, 200 North Columbia St., Covington, La. 70433.

The corporation is organized on a non-stock basis.
No director of the corporation shall be liable to the corporation or any other person for any monetary damages, in the absence of fraud or willful and wanton misconduct.
The Chief Executive Officer, in consultation with the Board of Directors, unless later amended in the By-Laws, shall specify the qualifications of members and all rights, privileges, restrictions, or limitations accorded each in their service to the corporation as members of the board.
